1. Who you are contracting with
These Terms of Service (the “Terms”) govern your business’s access to and use of RT: the rt.app website, the RT dashboard, RT APIs and plug-ins, and every RT product described on rt.app (together, the “Services”). “RT”, “we”, “us”, and “our” mean the RT entity you contract with, which depends on where your business is established:
Percentagem Envolvente, Lda.
Private limited company (sociedade por quotas) registered in Portugal. Contracting entity and data controller for businesses established in the European Union and European Economic Area.
RealtimePay Inc.
Contracting entity and data controller for businesses in the United States and every other supported region outside the EU and EEA.
- EU and EEA businesses. If your business is incorporated, registered, or has its principal place of business in a member state of the European Union or the European Economic Area, your agreement is with Percentagem Envolvente, Lda., a Portuguese company.
- All other businesses. If your business is established in the United States or any other supported country, your agreement is with RealtimePay Inc.
Your contracting entity is confirmed during onboarding and shown in your dashboard under Settings › Business. If your place of establishment changes, tell us so we can move your agreement to the correct entity.
2. Accepting these Terms
By applying for an account, signing in, or using the Services, you confirm that you are authorised to bind the business you represent and that the business accepts these Terms, our Privacy Policy, and any product-specific terms presented to you before you activate a product.
The Services are for businesses only. They are not offered to consumers acting outside their trade, business, craft, or profession.
3. RT is not a bank
Neither Percentagem Envolvente, Lda. nor RealtimePay Inc. is a bank, credit institution, or electronic money institution. Accounts, account and routing details, card issuing, money transmission, fiat-to-stablecoin conversion, custody, and settlement are provided by regulated infrastructure partners under their own licences and their own terms, which you will be asked to accept where required.
Balances held through the Services are not bank deposits and are not covered by deposit insurance or deposit guarantee schemes unless a partner’s terms expressly say otherwise. Services are available only in jurisdictions and to business types our partners support.
4. Eligibility, onboarding, and verification
To open and keep an account, your business must pass our and our partners’ know-your-business (KYB), know-your-customer (KYC), sanctions, and risk reviews. You agree to provide accurate, complete, and current information about the business, its beneficial owners, directors, and authorised users, and to update it promptly when it changes.
We may decline an application, limit products, or request more information at any time. We may use automated tools, including AI risk models, to support reviews; decisions that significantly affect your account are reviewed by our team on request.
5. The Services
Depending on your region, review, and plan, the Services may include:
- Business operating accounts with dollar-denominated stablecoin balances (such as USDC and rtUSD), statements, and virtual account details.
- Checkout and payment acceptance, including card, wallet, bank-transfer, stablecoin, and NFT checkout, with AI-assisted payment routing.
- Transfers, including ACH, RTP, wires, RT-to-RT transfers, and cross-border stablecoin payouts where supported.
- Visa virtual debit cards and spend controls issued by a partner card issuer.
- Agent Pay for Business, RT Agent Checkout, the Agentic Commerce API, and related developer tools.
Some features are marked as coming soon or limited availability on rt.app. Those features are not part of the Services until we make them available to your account.
6. Stablecoins and digital assets
Stablecoin balances are digital assets designed to hold a stable value against the US dollar. They carry risks that differ from bank deposits, including issuer, reserve, network, smart-contract, and regulatory risks. You are responsible for understanding those risks before using stablecoin features.
For businesses established in the EU and EEA, crypto-asset services are provided only where they are permitted under Regulation (EU) 2023/1114 on markets in crypto-assets (MiCA) and applicable national law, and only through appropriately authorised providers. Some stablecoin features may be restricted or unavailable in the EU and EEA as a result.
Network transactions are generally irreversible. Always confirm recipient details before you send funds.
7. Your responsibilities and acceptable use
You are responsible for all activity under your account, including activity by your authorised users, API keys, and AI agents. You must keep credentials secure, enable the security controls we offer, and notify us immediately at security@rt.app if you suspect unauthorised access.
You must not use the Services for anything unlawful, fraudulent, or prohibited by our partners, including sanctioned persons or territories, money laundering, terrorist financing, unlicensed regulated activities, or deceptive sales practices. We may publish and update a list of restricted and prohibited business types.
If you use NFT checkout, you are the seller of each NFT and are responsible for its content, rights, description, delivery, and any promises you make to buyers. You must not offer or market NFTs as investments, securities, or financial instruments, including by promising profit, yield, revenue share, or fractional ownership. We may review, limit, or remove any NFT listing that does not meet these Terms or applicable law.
8. AI agents and delegated permissions
Agent Pay for Business lets you grant AI assistants scoped, revocable permissions to request payments within rules you set, such as per-order caps, monthly budgets, approved suppliers, and expiry dates. RT Agent Checkout lets third-party agents purchase from your business through agent-readable checkout sessions.
- Payments executed within the permissions you configure are treated as authorised by your business.
- You are responsible for choosing which agents to connect, for the rules you set, and for reviewing agent activity.
- You can pause or revoke any agent permission at any time; revocation applies to new payment requests immediately.
9. Fees
Plan and transaction fees are shown on the rt.app pricing section, in your dashboard, or in your order form. Published plans currently include Starter at $99 per month, Growth at $499 per month, and custom Scale pricing, with 30 standard ACH transfers per month included and RTP instant payouts at 1% with a $10 minimum where available. Network, card scheme, conversion, and partner fees may also apply. We will give you reasonable advance notice of fee changes.
You authorise us to deduct fees, refunds, chargebacks, reversals, and other amounts you owe from your balances or reserve.
10. Holds, reserves, chargebacks, and disputes
To protect your business, your customers, and the network, funds may be shown as pending, held, reserved, or available. We may place holds or require a reserve based on risk, product, delivery timelines, dispute history, or partner requirements, and we will explain the reason where the law allows.
You are responsible for refunds, chargebacks, and disputes relating to your sales, and for providing evidence when requested. Bank details you provide during onboarding may be used for billing, reserve, refund, and chargeback coverage where required.
11. APIs, plug-ins, and developer tools
We grant you a limited, non-exclusive, non-transferable licence to use RT APIs, SDKs, and plug-ins to integrate the Services with your systems during your agreement. You must follow our documentation and rate limits, keep API keys secret, and not reverse engineer, resell, or misrepresent the Services.
12. Intellectual property and feedback
RT, rt.app, rtUSD, and related names, logos, software, and content belong to us or our licensors. These Terms do not transfer any ownership to you. If you send us feedback, we may use it without obligation to you.
You keep ownership of your data and content. You grant us the rights we need to host, process, and display it to provide and secure the Services.
13. Privacy and data protection
We process personal data as described in our Privacy Policy. For businesses in the EU and EEA, Percentagem Envolvente, Lda. acts in accordance with Regulation (EU) 2016/679 (GDPR) and Portuguese data protection law. Where we process personal data on your behalf as a processor, the data processing terms available on request form part of these Terms.
14. Suspension and termination
You may close your account at any time once outstanding transactions, disputes, and amounts owed are resolved. We may suspend or close your account, or limit a product, if required by law or a partner, if we reasonably suspect fraud, prohibited activity, or a security risk, or if you materially breach these Terms. Where the law allows, we will give you notice and a reason.
On closure, we will return available funds to a verified account in your business’s name, less amounts you owe and any reserve we are required to retain for a limited period.
15. Disclaimers
We work to keep the Services available and accurate, but they are provided “as is” and “as available”. To the extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We are not responsible for delays or failures caused by networks, card schemes, blockchains, partners, or events outside our reasonable control.
16. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special, or consequential losses, or for loss of profits, revenue, or goodwill. Our total liability arising from the Services in any 12-month period is limited to the fees you paid us in that period. Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud, wilful misconduct, or gross negligence.
17. Governing law and disputes
- Agreements with Percentagem Envolvente, Lda. are governed by Portuguese law. The courts of Lisbon, Portugal have jurisdiction, without prejudice to any mandatory rules that apply to you.
- Agreements with RealtimePay Inc. are governed by the laws of the United States and the state specified in your order form or service agreement, and disputes are resolved in the courts named there.
Before starting formal proceedings, both parties agree to try to resolve disputes in good faith for 30 days after written notice to legal@rt.app.
18. Changes to these Terms
We may update these Terms to reflect changes to the Services, our partners, or the law. We will post the updated Terms on this page and, for material changes, give you at least 30 days’ notice by email or in your dashboard, unless a shorter period is required by law or a partner. Continuing to use the Services after the effective date means you accept the updated Terms.
